We draft contracts that hold up.
Custom contracts for your business, course, product, or event.
Starting at $1,995 per contract
Modern Mark drafts the contracts growing businesses run on, including service agreements, independent contractor agreements, NDAs, website terms of use, privacy policies, and terms for courses and products.
Business contract work is handled for businesses in Texas and New York.
Which contracts does a small business need?
At minimum, a client or service agreement, contractor agreements that assign IP to you, an NDA whenever you share confidential information, and website terms and a privacy policy if you sell or collect data online. Course and product sellers need their own terms of sale.
We start from your business model, since how you make money decides which of these you need.
Are contract templates good enough?
A template can be a starting point, but it wasn’t written for your business or your state’s law, and it doesn’t account for your intellectual property. The usual gaps are IP ownership, payment terms, liability limits and how disputes get resolved.
Those gaps usually come to light in a dispute over payment or ownership.
Who owns the work my contractor creates?
Without a written agreement, often the contractor. Contractor agreements should assign the IP in everything they make for you. See copyright.
Ownership questions come up most with logos, websites, code, courses and product designs.
When do I need an NDA?
Before you share confidential information, such as product plans, formulas, client lists or pricing, with a potential partner, manufacturer, investor or contractor. NDAs also help preserve trade secret protection.
An NDA written to cover everything is hard to enforce, so we draft the terms around what you are about to share and who will see it.
Does my website need terms of use and a privacy policy?
If you collect personal information such as emails, orders or analytics, a privacy policy is legally required in many situations, including under California law for sites that collect data from California residents. Terms of use set the rules for the site and can limit your liability.
Both should describe what your site does, and copied policies often promise things the business doesn’t do.
